These Terms of Service govern your access to and use of AskLumo, a product owned and operated by CloudPrism Technologies, LLC. By accessing or using AskLumo, you agree to these terms. If you do not agree, do not use the service.
Where CloudPrism Technologies, LLC and your organisation have entered into a Master Services Agreement or other written contract covering AskLumo, that agreement governs your use of the service and prevails over these terms wherever they conflict.
AskLumo is operated by CloudPrism Technologies, LLC, a California limited liability company with its principal place of business at 5618 Seifert Avenue, San Jose, CA 95118 ("CloudPrism", "we", "us"). References to "you" mean the individual or organisation accessing the service.
AskLumo connects to business systems you authorise, reads metadata and records within the permissions you grant, and provides answers, diagnostics and proposed changes relating to those systems.
AskLumo operates on a read-first basis. It does not write to a connected system unless a change has been initiated and expressly approved by an authorised user. Every applied change is recorded in an audit log available to you.
We may modify, improve or discontinue features from time to time. We will not materially degrade core functionality during a paid subscription term without your consent.
You must be at least 18 years old and authorised to act on behalf of the organisation you represent. You are responsible for all activity under your account, for keeping credentials confidential, and for ensuring your users comply with these terms.
Notify us promptly at security@asklumo.io if you suspect unauthorised access to your account.
AskLumo accesses third-party systems such as Salesforce, Slack and Jira using credentials or an integration user that you create, own and control. The permissions you assign to those credentials are the limit of what AskLumo can read or change. You are responsible for scoping them appropriately.
You must hold all rights, consents and authorisations necessary for us to access those systems and process your data as described in these terms.
You may not, and may not permit anyone else to:
You must not submit data you are not authorised to disclose. AskLumo is not designed for, and must not be used to process, payment card data, government identification numbers or protected health information.
You retain all rights in your data. We process it only to provide and support the service, and in accordance with your instructions.
We do not use your data to train, fine-tune or otherwise improve any artificial intelligence or machine learning model, and we contractually require the same of our model provider.
Details of how we host, encrypt, isolate and retain your data, and the subprocessors we use, are published at our Trust Center. You may request an export of your data at any time, and deletion in accordance with our published retention schedule.
AskLumo uses artificial intelligence to generate answers and proposed changes. Output may be incomplete or incorrect. Answers are grounded in the metadata the service actually reads, and the service indicates where a response is an assumption rather than a verified fact.
No change is applied to a connected system without express human approval. You are responsible for reviewing output before relying or acting on it. We do not warrant that output will be accurate or suitable for any particular decision.
Where the service is provided on a paid basis, fees, billing frequency and the subscription term are set out in your order form or other written agreement. Fees are exclusive of taxes. Unless agreed otherwise, invoices are payable within thirty days.
Trials, pilots and evaluation access may be offered at our discretion and may be modified or withdrawn at any time.
Each party will protect the other's non-public information using at least reasonable care, use it only as needed to perform under these terms, and disclose it only to people who need to know it and who are bound by comparable obligations. This does not apply to information that is public through no fault of the receiving party, was already known without restriction, is received from a third party without restriction, or is independently developed.
We retain all rights in the service, the underlying software, documentation and related intellectual property, including improvements and derivative works. You retain all rights in your data and your own systems and configurations.
If you give us feedback or suggestions, we may use them without restriction or obligation, and will not identify you as the source without your consent.
We may collect and use aggregated, de-identified data about use of the service to operate, secure and improve it, provided it does not identify you, your users or your data.
We warrant that the service will perform materially in accordance with its documentation. If it does not, we will use commercially reasonable efforts to correct the non-conformity.
Except as expressly stated, the service is provided "as is" and we disclaim all other warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose and non-infringement. Trial, pilot and evaluation features are provided "as is" and "as available" with no warranty at all.
Neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, goodwill or anticipated savings, however caused.
Except for the matters described below, each party's total aggregate liability arising out of or relating to these terms will not exceed the fees paid or payable by you in the twelve months preceding the first event giving rise to the claim. Where no fees have been paid, that amount is one hundred US dollars (US$100).
Nothing in these terms limits liability for gross negligence, wilful misconduct or fraud, for death or personal injury caused by negligence, for your obligation to pay fees properly due, or for any liability that cannot be limited under applicable law.
We will defend you against any third-party claim that the service infringes that party's intellectual property rights, and will indemnify you against damages finally awarded or agreed in settlement.
You will defend us against any third-party claim arising from your data, or from your use of the service in breach of these terms or applicable law, and will indemnify us against damages finally awarded or agreed in settlement.
In each case the indemnified party must give prompt notice, allow the indemnifying party control of the defence and settlement, and provide reasonable cooperation.
You may stop using the service at any time. Where you have a subscription, termination is governed by your order form or written agreement.
We may suspend or terminate access where you materially breach these terms and do not cure within thirty days of notice, or immediately where continued access presents a material security risk, is causing harm to the service or other customers, or is unlawful. We will give as much notice as is reasonably practicable and limit any suspension to the narrowest scope and shortest duration necessary.
On termination, your right to access the service ends. You may request an export of your data for thirty days afterwards, after which we delete it in accordance with our published retention schedule, subject to any legal retention obligation.
We may update these terms from time to time. Where a change is material, we will give at least thirty days' notice by email or through the service before it takes effect. Continued use after that date constitutes acceptance. If you do not agree to a material change, you may terminate before it takes effect.
The date at the top of this page shows when these terms were last updated.
These terms are governed by the laws of the State of California, excluding its conflict of law rules. The parties submit to the exclusive jurisdiction of the state and federal courts located in Santa Clara County, California.
Neither party may assign these terms without the other's written consent, except to an affiliate or in connection with a merger, acquisition or sale of substantially all assets.
If any provision is held unenforceable, it will be modified to the minimum extent necessary and the remainder stays in effect. A failure to enforce a provision is not a waiver of the right to enforce it later. Neither party is liable for delay or failure to perform, other than payment obligations, caused by events beyond its reasonable control.
These terms, together with any order form, written agreement and the policies referenced here, are the entire agreement between us on their subject matter.
